Plan LLP annual return, Statement of Account and Solvency, books, income tax and event-based MCA filings. Use the sections below to understand the practical decisions, records and compliance points before taking action.
Why every LLP needs a compliance calendar
An LLP remains a regulated body corporate even when operations are small or inactive. Designated partners carry responsibility for statutory acts and filings. Build the calendar from incorporation and check current forms, thresholds and due dates for the relevant financial year.
Maintain books and supporting records
Keep reliable records of receipts, expenses, assets, liabilities, partner contribution and drawings. Bank, partner capital and tax information should reconcile. The prescribed place and retention of records should be reviewed under the LLP framework.
Prepare Form 11 annual return
The annual return reports partner and designated-partner particulars, contribution and related information for the relevant year. Partner master data and MCA records should be updated before preparation so the return does not reproduce outdated particulars.
Prepare Form 8 and financial information
The Statement of Account and Solvency captures prescribed financial and solvency declarations. Supporting accounts should be closed and reviewed before signing. Certification and audit requirements depend on current law, thresholds and the LLP facts.
Complete tax and registration compliance
File the LLP income-tax return and assess tax audit, TDS, GST, payroll and sector obligations separately. MCA filings and tax filings serve different laws; completion of one does not satisfy the other.
Monitor event-based filings
Changes involving partners, designated partners, registered office, name, contribution or LLP agreement can trigger separate forms and deadlines. Complete legal and filing review before implementing the change and retain resolutions, agreements and acknowledgements.
