01Does every LLP have to file Form 11?

Every LLP is generally required to file its annual return in Form 11 within the statutory framework, including LLPs with limited or no business activity.

02What is LLP Form 8?

Form 8 is used for the Statement of Account and Solvency and specified charge-related purposes. Annual account information is generally prepared as at 31 March.

03Is LLP audit mandatory in every case?

Audit applicability depends on current LLP law thresholds and LLP facts. Income-tax audit has separate conditions, so both tests should be reviewed independently.

04Are Form 11 and Form 8 the same?

No. Form 11 is the annual return focused on LLP and partner information, while Form 8 reports accounts, solvency and prescribed disclosures.

05Can annual forms be filed when partner changes are pending?

Pending or unprocessed partner-change forms can affect or block annual filing. MCA status and master data should be reconciled first.

06Does a dormant or loss-making LLP need compliance?

Low activity, loss or no turnover does not automatically remove annual MCA, books, tax and record obligations while the LLP remains registered.

07How are partner changes reported?

Admission, cessation, designation and detail changes use the applicable MCA partner filing, while agreement amendments and contribution or profit-sharing changes require the linked agreement filing.
