US Formation Starts at the State Level

An LLC or corporation is normally created under a state’s law, not through one universal federal incorporation portal. The formation state controls the filing document, registered agent, fees, annual reports and franchise-tax framework.

01Can an Indian citizen register a company in the USA?

Yes. US citizenship or residency is generally not required merely to own an LLC or corporation, but state filing, registered-agent, tax, banking and activity-specific requirements still apply.

02Which state should I choose for US company formation?

Choose based on where the business will actually operate, employees, customers, investors and state taxes. Forming in Delaware or Wyoming does not remove registration or tax obligations in another state where the company is doing business.

03Should I form an LLC or a C Corporation?

An LLC offers flexible governance and tax classification, while a C Corporation is often considered for institutional venture funding and stock-based ownership. Cross-border taxation can materially change the choice.

04Do I need a US address?

A registered agent must have a physical address in the formation state. Banking, licensing and commercial operations can require additional address or substance evidence. A registered-agent address is not automatically a full operating address.

05Can a non-US founder apply for an EIN online?

If the principal place of business is outside the United States and the applicant does not meet the IRS online requirements, the EIN application generally uses Form SS-4 by fax, mail or the international-applicant phone route.

06Is an SSN or ITIN required to form a US company?

A state formation may not require an SSN or ITIN, but federal tax, EIN, banking or personal filing circumstances can require taxpayer-identification analysis. An ITIN should be requested only when a valid federal tax purpose exists.

07Do US-created companies currently file FinCEN BOI reports?

Under FinCEN’s March 2025 interim final rule, entities created in the United States are currently exempt from BOI reporting. Foreign-country entities registered to do business in the US may still fall within the revised rule.

08Is a US business bank account guaranteed after registration?

No. Financial institutions independently assess owners, business purpose, source of funds, expected transactions, address, documents and risk. Formation and EIN do not guarantee approval.
