Step 1: decide whether OPC fits the venture

Review founder count, investment plans, liability exposure, proposed activity and readiness for annual company compliance. OPC can suit an eligible solo entrepreneur, but it does not support adding another shareholder without conversion. Compare it with proprietorship, LLP and Private Limited Company before choosing the structure. Confirm member and nominee eligibility at this stage.

Step 2: obtain the Digital Signature Certificate

A valid DSC is arranged for the person signing electronic incorporation forms. PAN, name, date of birth, email and mobile details should match the incorporation information. DSC issuance and MCA incorporation are connected but separate processes, and the actual time depends on verification and service-provider requirements.

Step 3: evaluate and apply for the company name

Prepare distinctive alternatives that reflect the principal activity and end with the appropriate OPC name expression. Search MCA company records and relevant trademarks before submission. Name approval is discretionary and does not by itself reserve trademark rights or approve the proposed business activity.

Step 4: prepare nominee and office documentation

Collect nominee consent and supporting identity records. Validate the registered-office utility bill, occupancy evidence and owner consent. The member, nominee, office and capital details should be frozen before e-MOA, e-AOA and SPICe+ particulars are finalised.

Step 5: prepare SPICe+ and linked forms

SPICe+ captures incorporation information and connects with constitutional and linked filings. The memorandum records company objects and nominee particulars; the articles set internal rules. Forms are digitally signed, professionally certified where required and submitted with applicable government fees and state stamp duty.

Step 6: respond to MCA review and organise post-incorporation work

The Registrar may approve the application or request clarification or resubmission. On approval, the Certificate of Incorporation contains the CIN, while PAN and TAN are generally allotted through the integrated process. The OPC should then organise its bank account, capital evidence, auditor appointment, accounting records, share certificate and applicable tax or business registrations.
